Definitions
In this Agreement the following words and phrases have the meanings set out below:
• The Freelancer - The person who will be working during the event
• The Agent - Just Smile Limited, Unit 6, Dane End Farm, Beaumont Hall Lane, St Albans AL3 6RW Tel: 01923 750525, Registered in England & Wales. Company no. 7055421. VAT No 165 738 967. Just Smile is a registered Trademark. The Agent wishes to engage the Act to provide certain services to it on the terms of this Agreement.
• The Client – The person or organisation booking the Just Smile Limited.
• The Contract – The agreement entered in to between Freelancer and Just Smile Limited.
• The Event – The time and/or place where Services are required.
• Services - the services to be provided by the Freelancer set out in the Schedule hereto and subject
1. Engagement
The Company engages the Freelancer to provide Audio Visual (AV) services on a freelance basis, and the Freelancer agrees to provide such services as and when requested by the Company.
2. Services
The services may include but are not limited to:
- Setup and operation of audio, lighting, video and staging equipment
- Venue preparation and equipment dismantling
- Technical support during events
- Loading and unloading equipment
- Maintenance and basic troubleshooting of AV systems
3. Dress Code & Branded Clothing
Dress Code
Dress codes will be detailed on the job sheet. As a general guide:
- Rigging/De-rigging: Plain, practical clothing such as jeans and t-shirts.
- During Events: Smart attire such as a black shirt, black trousers, and smart shoes. A suit may be expected at weddings and corporate events.
- Outdoor Events: Requirements may differ. Please confirm with the team.
Branded Clothing
In some cases, we operate under third-party branding (i.e., other event planners or venues). While some freelancers have a Just Smile polo shirt, it may not be appropriate for all jobs.
If in doubt, bring a plain clothing option and clarify with the production team beforehand whether Just Smile branding is suitable for the event.
4. Fees and Payment
The Freelancer will be paid at a rate per engagement, agreed in advance for each engagement.
To help us pay you promptly:
- Send invoices to accounts@justsmile.co.uk within 7 days of completion of the assignment.
- Ensure your invoice includes:
- Your full name and address
- Bank details
- Company name (if applicable)
- Company number and VAT number (if applicable)
- Job date and reference/details
We agree a fixed price per booking at the time of confirmation. Any changes to this must be agreed in advance with either your Production Manager or our Managing Director and confirmed in writing.
Please note:
- We do not recognise any industry-standard rates or hours.
- We are not affiliated with any unions or trade associations.
- We operate solely under the UK Government’s Working Time Directive.
Invoices submitted that exceed the agreed rate or differ from the agreed structure without prior written approval will not be paid.
5. Independent Contractor Status
The Freelancer is an independent contractor and not an employee, worker, or agent of the Company. The Freelancer is responsible for their own tax, National Insurance, and any other statutory obligations.
6. Confidentiality
The Freelancer agrees not to disclose any confidential information obtained during their engagement with the Company to any third party, either during or after the term of this Agreement.
7. Health & Safety
The Freelancer agrees to comply with all health and safety requirements and site-specific protocols while working on Company or client premises.
Freelancers are responsible for their own health and safety on-site. You should bring suitable PPE, such as:
- Steel toe-cap boots
- Work gloves
8. Insurance
The Freelancer shall maintain appropriate Public Liability Insurance and provide proof of such insurance upon request.
9. Tools & Equipment
Where possible, the Company will provide the necessary AV equipment. The Freelancer agrees to use such equipment responsibly and report any faults or damage immediately. If the Freelancer uses their own equipment, it must meet industry standards and be PAT tested.
10. Cancellations
If the Company cancels an agreed booking within 24 hours of the start time, a cancellation fee of 50% of the agreed fee will be paid.
If the Freelancer cancels with less than 48 hours’ notice, the Company reserves the right to remove them from future bookings.
11. Termination
This Agreement may be terminated by either party with immediate effect by giving notice in writing.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
